Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of 2R Auto Platform ("Platform," "Service") operated by CTE Digital LLC dba CTE.STUDIOS ("Company," "we," "our," or "us"). By creating an account, subscribing to a plan, or using the Platform in any way, you agree to be bound by these Terms.

If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

2R Auto Platform is a cloud-based shop management system that provides tools for automotive repair shops including work order management, bay board scheduling, digital inspections, customer communication, VIN intelligence, AI-powered repair assistance, business reporting, and related features as described at rrauto.app.

We reserve the right to modify, suspend, or discontinue any feature or the Platform itself with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

3. Accounts & Access

You must provide accurate and complete information when creating your account. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account.

You may invite technicians and staff to your shop account under role-based access controls. You are responsible for all actions taken by users you add to your account. Notify us immediately at usmnv@ncdealer.co if you suspect unauthorized access.

One account may manage multiple shop locations depending on your subscription plan. Each shop location's data is isolated from other shops on the platform.

4. Subscription Plans & Billing

Access to the Platform requires a paid subscription. Plans, pricing, and features are described at rrauto.app/pricing. All plans are billed monthly unless otherwise specified.

Founding member pricing: If you subscribe during our founding member period, your monthly rate is locked in for the lifetime of your continuous subscription. Rates will not increase as long as you remain subscribed without cancellation.

Upgrades & downgrades: You may change your plan at any time. Upgrades take effect immediately and are prorated. Downgrades take effect at the start of your next billing cycle.

Cancellation: You may cancel at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for unused time on your current billing period.

Failed payments: If payment fails, we will retry and notify you. If payment is not resolved within 7 days, your account may be suspended. Your data is retained for 90 days following suspension, after which it may be permanently deleted.

5. Phone Number Provisioning

On eligible plans, a local phone number is automatically provisioned to your shop account upon successful payment. This number is assigned to your shop for the duration of your active subscription. Upon cancellation, the number will be released and may be reassigned. We cannot guarantee the same number will be available if you resubscribe.

6. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable law or regulation
• Transmit spam, unsolicited messages, or harass customers
• Store or transmit malicious code or conduct security attacks
• Reverse engineer, copy, or create derivative works of the Platform
• Resell or sublicense access to the Platform without written permission
• Use the AI features to generate false or fraudulent repair documentation
• Circumvent any security, access control, or billing mechanism

We reserve the right to suspend or terminate accounts that violate these terms without refund.

7. Your Data

You retain ownership of all data you input into the Platform, including customer records, vehicle information, and work orders ("Your Data"). You grant us a limited license to store, process, and transmit Your Data solely to provide the Service to you.

We will not access Your Data except to provide the Service, respond to support requests, or as required by law. We do not sell Your Data. See our Privacy Policy for full details.

Upon account termination, you may request an export of Your Data within 90 days. After 90 days, we may permanently delete Your Data from our systems.

8. AI Features

The Platform includes AI-powered features including the 2R AI Tech Assistant. These features are provided to assist qualified technicians and are intended as a supplement to — not a replacement for — professional automotive knowledge and judgment.

AI-generated repair suggestions, labor estimates, and technical information may contain errors. You assume full responsibility for verifying any AI-generated content before applying it to a vehicle repair. We are not liable for any damage, injury, or loss resulting from reliance on AI-generated output.

9. Intellectual Property

The Platform, including its design, code, features, and all content created by us, is owned by CTE Digital LLC and protected by applicable intellectual property laws. You may not copy, reproduce, or create derivative works of any part of the Platform without written permission.

The 2R Auto Platform name, logo, and brand marks are trademarks of CTE Digital LLC. You may not use them without prior written consent.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CTE DIGITAL LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless CTE Digital LLC, its affiliates, officers, and employees from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, Your Data, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in North Carolina, and you consent to personal jurisdiction in those courts.

14. Changes to Terms

We may update these Terms from time to time. We will notify active subscribers of material changes via email at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
